Terms of Service

Last updated: SEP 30, 2026

Welcome to Liquid AI! Before you access or use our Services, please read these Terms of Service.

These Terms of Service (“Terms”) govern your access to and use of Liquid Console, Liquid AI’s hosted APIs and models, related documentation, and any other service that links to these Terms (collectively, the “Services”). They are a contract between you and Liquid AI, Inc., a Delaware corporation (“Liquid AI,” “we,” “us,” or “our”).

By creating an account, clicking “I accept,” or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Using the Services on behalf of an organization. If you use the Services for a company or other legal entity, you represent that you have authority to bind it, and “you” refers to that entity.

Other terms. These Terms do not apply to products or software governed by separate terms or licenses, including open-source licenses. If a separate written agreement with Liquid AI covers a Service, that agreement controls to the extent of any conflict.

1. The Services

What the Services do. The Services allow you to access and use generative, decision, and other artificial-intelligence models hosted by or on behalf of Liquid AI. Generative models produce text or other content. Decision models evaluate information you provide and return structured results, such as classifications, choices, scores, probabilities, or confidence values.

Documentation. You must use the Services in accordance with the technical documentation, usage specifications, and limits that we make available for the Services at https://docs.liquid.ai (the “Documentation”).

Third-party distribution. We may make Services available through third-party platforms, marketplaces, or distribution channels. Those platforms’ terms govern your use of them; these Terms govern your use of the underlying Liquid AI Services.

2. Model Outputs and No Guarantee of Accuracy

AI models are probabilistic. Outputs may be inaccurate, incomplete, misleading, biased, offensive, or otherwise unsuitable. Similar inputs may produce different results, and different users may receive similar or identical outputs.

Probabilities, scores, confidence values, classifications, and other structured results from decision models are automated estimates, not guarantees of accuracy, reliability, future outcomes, or performance in your specific use. A result may conform to the requested structure or schema and still be inaccurate or unsuitable for your use.

Outputs do not constitute legal, medical, financial, employment, insurance, credit, or other professional or regulated advice.

You are solely responsible for:

  • evaluating and testing outputs before using or relying on them;
  • selecting appropriate models, instructions, criteria, thresholds, and fallback procedures;
  • implementing appropriate human review and oversight;
  • monitoring applications that use the Services; and
  • ensuring that your use of the Services and outputs complies with applicable law.

You must not use the Services or outputs to make decisions that have a legal or similarly significant effect on a person without appropriate human review and safeguards required by applicable law.

3. Eligibility

You must be at least 18 or the minimum age required to consent to use the Services in your location, whichever is higher, and may not use the Services where prohibited by law.

4. Accounts and Access

Access right. Subject to your compliance with these Terms, you may access and use the Services for your internal business purposes and to develop, evaluate, and operate applications that use the Services.

Accounts and organizations. You may need to create an account or join an organization and must provide accurate, complete, and current registration and billing information. An organization administrator may manage your account and access information about your use of the Services.

Credentials and API keys. You must protect your account credentials and API keys and may share them only with personnel and contractors authorized to use the Services on your behalf. You are responsible for all activity and charges incurred through your account or credentials, including by automated systems and authorized third-party applications. Notify us promptly at support@liquid.ai of suspected unauthorized access.

5. Fees, Usage, and Payment

Fees. You will pay any applicable fees presented through the Services or in an applicable order form (“Fees”). Unless otherwise stated, Fees are usage-based. The Services or Documentation will identify each model’s applicable billable units, which may include input or output tokens, requests, processing time, or another unit. Because decision models may return structured results without output tokens, their billable units may differ from those used for generative models. If you purchase access to the Services through a third-party platform, that platform’s pricing and payment terms apply to that purchase.

Metering. Liquid AI’s usage records determine Fees. We may use third parties to measure usage, issue invoices, process payments, and manage credits. You are responsible for monitoring usage and configuring available spending limits or alerts, which may not prevent all charges.

Payment. You authorize Liquid AI and its payment providers to charge your selected payment method for Fees and taxes at an applicable billing threshold, at the end of a billing period, or as otherwise disclosed through the Services. Except as required by law, Fees are non-refundable. You must notify us of a billing dispute within 30 days after the charge.

Credits. Usage credits may be used only for eligible Services, have no cash value, may not be transferred or resold, and expire as disclosed when issued or purchased. Except as required by law, credits are non-refundable.

Taxes. Fees exclude applicable taxes. You are responsible for sales, use, value-added, withholding, and similar taxes, other than taxes based on Liquid AI’s net income.

Price changes. We may change prices prospectively and will provide reasonable notice of material changes through the Services, our website, or email. Updated prices apply to usage incurred after the stated effective date.

6. Your Content and Data

Your Content. “Your Content” means prompts, questions, instructions, specifications, text, files, data, or other materials you submit to the Services, together with outputs generated for you. As between you and Liquid AI, you retain your rights in submitted materials and own the outputs, subject to third-party rights and the rights granted to Liquid AI under these Terms.

You represent that you have all rights, permissions, consents, and lawful bases necessary to provide Your Content and permit its processing as described in these Terms.

License to Liquid AI. You grant Liquid AI and its affiliates a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, analyze, and otherwise use Your Content as reasonably necessary to provide, maintain, secure, debug, and support the Services; prevent fraud, abuse, and security incidents; comply with law; and enforce these Terms.

You also grant Liquid AI and its affiliates a worldwide, non-exclusive, royalty-free license to use Your Content to develop and improve Liquid AI’s models, products, and services, including through training, fine-tuning, evaluation, and testing.

Usage Data. We may collect information about your use and the performance of the Services, including model selections, token counts, request volume, latency, errors, feature usage, and billing information (“Usage Data”). We may use Usage Data to operate, analyze, secure, improve, and market the Services and may aggregate or de-identify it so it no longer reasonably identifies you.

Restricted data. Unless expressly authorized in the Documentation or a separate written agreement, you will not submit protected health information subject to HIPAA; payment-card data subject to PCI DSS; biometric identifiers; government-classified or export-controlled technical data; personal information relating to children; or other information subject to heightened legal or regulatory requirements. The Services are not designed to process these categories of data.

Retention. We may retain Your Content and Usage Data as reasonably necessary to provide, secure, and improve the Services; comply with law; resolve disputes; and enforce our agreements. We have no obligation to store Your Content, and you are responsible for maintaining any required copies.

Service-specific data terms. Specific terms about how we process, use, and retain Your Content and Usage Data may apply to certain Services or when you access the Services through a third-party platform. We will follow those terms when they apply.

7. Your Responsibilities and Prohibited Conduct

You are responsible for Your Content and applications you develop using the Services, your use of outputs and resulting decisions, compliance with applicable law, and the security of your accounts, systems, and credentials. If you make an application that uses the Services available to end users, you are responsible for their use of the Services through that application.

You will not, and will not permit any third party to:

  • use the Services in violation of applicable law or another person’s rights;
  • reverse engineer, decompile, or disassemble the Services, or attempt to derive model weights, architecture, source code, or training data, except where applicable law prohibits this restriction;
  • use the Services or outputs to develop, train, fine-tune, or improve other AI models;
  • circumvent rate limits, quotas, metering, billing, spending controls, or access restrictions;
  • probe, scan, or test the vulnerability of the Services without our written authorization;
  • interfere with or disrupt the Services or another customer’s use;
  • use the Services to deceive, defraud, harass, unlawfully surveil, discriminate against, or harm a person;
  • introduce malware or other harmful code;
  • resell, sublicense, timeshare, or provide the Services as a service bureau, except as expressly permitted in the Documentation or a written agreement; or
  • remove or obscure proprietary notices.

We may immediately suspend or terminate your access if you violate this Section.

You will defend, indemnify, and hold harmless Liquid AI, its affiliates, and their respective officers, directors, employees, contractors, and agents from third-party claims, liabilities, losses, and expenses, including reasonable attorneys’ fees, arising from Your Content, your applications, your use of the Services or outputs, your violation of these Terms or applicable law, or your infringement or violation of another person’s rights.

8. Third-Party Services

The Services may depend on or interoperate with third-party services. Liquid AI does not control or assume responsibility for their availability, security, data practices, or performance. Your use of third-party services may be subject to separate terms and policies.

9. Intellectual Property and Feedback

Ownership. Liquid AI and its licensors retain all rights in the Services, models, Documentation, technology, and related intellectual property. No rights are granted except the access right in Section 4. You will not challenge or contest Liquid AI’s intellectual-property rights in the Services.

Customer applications. Subject to these Terms, you may use outputs in your applications, but these Terms do not transfer ownership in the Services or underlying Liquid AI models.

Feedback. If you provide feedback, you grant Liquid AI a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose without restriction or compensation.

Use of our brand. You may not use Liquid AI’s name, logos, or trademarks without our prior written permission or in a manner that implies affiliation, endorsement, or sponsorship.

10. Updates to the Services

We may update the Services at any time, including their models, evaluation methods, APIs, features, and security controls, and may modify, suspend, or discontinue any Service or feature. Updates may be applied automatically. Unless agreed in writing, we have no obligation to provide updates, support, or continued access to any model or version. Updates may change results, confidence values, or performance, and you are responsible for re-evaluating affected applications, thresholds, and safeguards.

11. Beta and Preview Services

We may identify certain Services or features as beta, preview, evaluation, or early access (“Beta Services”). Beta Services are experimental, may contain errors or fail, and may be modified or discontinued at any time. Unless we expressly agree otherwise in writing, Beta Services are provided “as is” and at your own risk and are not subject to any service-level, uptime, support, or warranty commitments. Beta Services are provided solely for testing and evaluation and may not be deployed in production or made available to end users.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND.

LIQUID AI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

LIQUID AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; OR THAT ANY PROBABILITY, CONFIDENCE VALUE, SCORE, CLASSIFICATION, OR OTHER RESULT WILL CORRESPOND TO AN ACTUAL OR FUTURE OUTCOME.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) LIQUID AI, ITS LICENSORS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES; AND (B) LIQUID AI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO LIQUID AI FOR THE SERVICES DURING THE 12 MONTHS PRECEDING THE CLAIM OR US$100.

These limitations apply even if any remedy fails of its essential purpose. You acknowledge that the disclaimers and limitations in Sections 2, 11, 12, and 13 are an essential basis of the bargain between you and Liquid AI.

14. Privacy

Our collection and use of personal information in connection with the Services is described in the Liquid AI Privacy Policy at https://www.liquid.ai/privacy-policy (the “Privacy Policy”), which is incorporated into these Terms by reference.

15. Term and Termination

These Terms remain effective until terminated. You may terminate by discontinuing use of the Services and closing your account.

We may suspend or terminate your access if:

  • you fail to pay Fees when due;
  • we reasonably suspect fraud, abuse, unauthorized access, or a security risk;
  • you violate these Terms or applicable law;
  • your use harms or materially disrupts the Services or other customers; or
  • suspension or termination is reasonably necessary to prevent material legal or operational risk.

Upon termination, your right to use the Services ends. You remain responsible for Fees incurred before termination, and Your Content may be deleted or become inaccessible.

Sections 2, 5 through 9, and 12 through 17 survive termination.

16. Changes to These Terms

We may modify these Terms by posting an updated version on our website or notifying you through the Services. Continued use after the updated Terms take effect constitutes acceptance; if you do not agree, you must stop using the Services.

17. General Terms

Governing law. These Terms are governed by the laws of the Commonwealth of Massachusetts, without giving effect to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be adjudicated exclusively by state or federal courts in Massachusetts.

Jury-trial waiver. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN A PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.

Claims period. To the extent permitted by law, any claim must be brought within one year after it accrues.

Entire agreement. These Terms, the Privacy Policy, and any applicable order form constitute the entire agreement concerning the Services and supersede prior communications on that subject. “Including” means “including but not limited to.”

Severability. If any provision is unenforceable, it will be modified to the minimum extent necessary, and the remainder will remain effective.

No waiver. A failure to enforce any provision is not a waiver.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, reorganization, sale of assets, or similar transaction.

Force majeure. Neither party will be liable for a failure or delay caused by circumstances beyond its reasonable control, including failures of internet, cloud, payment, or infrastructure providers. This provision does not excuse payment obligations.

Export and sanctions. You will comply with applicable export-control and sanctions laws and represent that you are not located in a comprehensively sanctioned jurisdiction or on a U.S. government restricted-party list.

Notices. Notices to Liquid AI must be sent to legal@liquid.ai.
